AADI Finance Terms of Service

1) These terms of service, as amended from time to time, describe our contractual relationship with you, whereby you have given you express, irrevocable and unconditional consent/authorization to Aadi Finance India Private Limited (“Aadi Finance”), for the purposes of collecting and using your information as provided by you either on the website of Aadi Finance (“Aadi”) that is that is https://www.aadifinance.org and/or on the Aadi mobile application (collectively referred to as “Aadi”) in order for Aadi Finance to undertake, amongst other things, assessment of your credit worthiness by: (a) obtaining your credit scores or credit reports from the partner credit bureaus of Aadi Finance from time to time; and (b) using risk evaluation and measurement software systems of Aadi Finance, for enabling you to make credit facility applications to Aadi Finance or any other lending partners of Aadi (collectively referred to as “Credit Assessment”).

2) You agree that you are subject to these terms of service, as amended from time to time, and these terms of service create a binding and enforceable agreement between you and Aadi Finance. By using or accessing the Aadi Platform, you, irrevocably and unconditionally acknowledge, confirm and accept these terms of service, as amended from time to time, and further agree as follows:

 I ) You hereby appoint and agree to appoint Aadi Finance as your authorized representative and agent for the purposes of accessing and receiving your credit scores or credit reports (collectively referred to as the “Credit Information”), from Aadi Finance’s partner credit bureaus or institutions which are credit information companies, in order to undertake amongst other things your Credit Assessment;

II) You agree and confirm that the authorization(s) given by you to Aadi Finance herein are, amongst others, for the following purpose(s): (i) to verify your identity and share with Aadi Finance, lending partners of Aadi Enterprise, and credit information companies certain personal and identifiable information about you; (ii) to request and receive, on your behalf, your Credit Information from Aadi Finance’s partner credit information companies, including but not limited to copies of your Credit Information reports, at any time, for so long as you have a valid account with Aadi Finance or with A Platform or you have withdrawn your consent in writing; (iii) to share your details with banking or lending partners of Aadi; (iv) to retain a copy or copies of your Credit Information reports along with any other information to which you have given Aadi Finance access, for use in accordance with these terms of service and/(v) for all such purposes as are not prohibited by the Credit Information Companies (Regulation) Act, 2005 or any other applicable laws;

III) You understand and agree that: (i) you have attained the age of majority under applicable laws and can form/ execute legally binding contracts; (ii) you can understand, read and write in the English language; and (iii) you have read and understood and accepted these terms of service of Aadi Finance, the privacy policy of Aadi Finance and also the terms and condition of Aadi Finance’s partner credit information companies;

IV) You represent and warrant to Aadi Finance that all information you submit while accessing or using the Aadi Platform is accurate, current and complete, and that you will keep such information accurate, current and complete. You further agree that you shall furnish any additional information which Aadi Finance may require from time to time. If Aadi Finance or Aadi come to know that any such information is untrue, inaccurate, out-of-date or incomplete, Aadi Finance reserves the right, in its sole and absolute discretion, to direct Aadi to suspend or terminate your access or use of the Aadi Platform. You will, however, be liable for any loss caused by you which Aadi Finance or Aadi may incur;

V) You agree and confirm that you have registered voluntarily for applying for credit facility(ies) by accessing or using the Aadi Platform and neither Aadi Finance nor Aadi or any other person has made any promises or representations to you in order to induce you to provide you credit facility(ies) or to seek any consent or authorization in this regard;

VI) Aadi FINANCE AND Aadi HEREBY DISCLAIM ALL WARRANTIES INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE OR NON-INFRINGEMENT WHICH ARE HEREBY ACKNOWLEDGED BY YOU.

VII) You understand that Aadi Finance does not control your Credit Information, which is a statistical analysis of information contained in your credit file as maintained in the system and database of credit information companies, and Aadi Finance cannot change that information for you;

VIII) You agree to protect, defend, indemnify and hold harmless Aadi Finance and Aadi and their officers, directors, employees, agents and third party service providers from and against any and all claims, demands, costs, expenses, losses, liabilities and damages of every kind and nature (including, without limitation, attorneys’ fees) imposed upon or incurred by Aadi Finance or Aadi either directly or indirectly arising from: (i) your access or use of the Aadi Platform; (ii) your violation of any provision of these terms of service or the Aadi Finance privacy policy or any of the terms and condition of Aadi Finance’s partner credit information companies. These indemnification obligations under shall survive any termination or expiration of these terms of service or Aadi Finance privacy policy or any of the terms and condition of Aadi Finance’s partner credit information companies or termination of access or use by you of the Aadi Platform;

IX) You shall not make or present any demand or claim, and irrevocably, unconditionally and entirely release, waive and forever discharge Aadi Finance and Aadi, their officers, directors, employees, agents, affiliates, successors and assigns, jointly and individually (hereinafter “Releasee(s)”), from any and all manner of liabilities, claims, demands, losses, claims, suits, costs and expenses (including, without limitation, attorneys’ fees) whatsoever, in law or equity, whether known or unknown, which you ever had, now have, or in the future may have against the Releasee(s) with respect to the access or use by you of the Aadi Platform or any other decision taken by you in this regard, including without limitation, your decision to provide Aadi Finance with the authorization to access or transfer or retain your Credit Information; 

X) In case of any disputes that you may raise with Aadi Finance or Aadi, courts and tribunals at New Delhi, India shall have the exclusive jurisdiction to entertain or adjudicate upon such disputes.
